Registration
of OPC is one of the easiest and simplest tasks as it has an involvement of only
one director or share holder to run a business
- Starting step is to apply for DIN / DSC application
There are two
forms are mainly required for DIN i.e DIR-3 and DIR-4 (Affidavit signed by CA,
CWA, CS) required to be filled with below additional documents
- Identity of applicant: PAN of the person
- Any one residential proof of following:
- Adhaar card, passport, driving License, election card, electricity bill, ration card, telephone bill.
For DSE certificate log on to the website of a Certifying Authority
licensed to get the Digital Certificates in India.
- Second step is Name approval for the concern company
For applying for
name approval INC-1 application form is compulsory, also it is obligatory for
the entrepreneur to go through the OPC naming guideline.

- Filing For Documents for incorporation
Once the
application for Name approval accepted by the MCA the next step is to collect
the documents for submission to the ROC. Below are the main documents which are
required to be submitted after receiving the name certificate
- The Memorandum of Association which refers to be the core objective of the company and the purpose of which the company is going to be incorporated
- The Article of the Association which defines the by-laws of the company which a particular company will incorporate
- A nominee form as there is only one owner in One Person Company it is required for the owner to appoint a nominee in case of death and incapability of handling the company
- Registered office address proof in the name of the company required to be submit to the ROC with proper detail which can be tracked
- Directors details in affidavit and consent which also needed to be submit to ROC
- A declaration letter from CA/CWA/ or any legal person mentioning that the compliance have been completed successfully
- Filing of form at MCA with SPICe form
All these form are readily available at MCA portal with the option of SPICe
form SPICe-MOA, SPICe-AOA, along with the DSC certificate and the professional and which can be made
available for approval. After uploading forms 49A and 49B will be available for
the PAN and TAN of the company which required to be submit or upload in MCA
with DSC of proposed directors.
- Issuance of certificate of Incorporation
Once the documents are verified by the Registrar of Companies, The ROC then
issue a certificate of incorporation and the business is ready to commence.
